Class B shares are financial instruments which represent ownership in a company and proportionate claims on its assets. They exist in companies with dual-class structures or with multiple classes of stock with differences in their voting rights attached to each class.
Introduction to Class B Shares
Commonly, Class B shares are held by promoters or senior management of a company and carry significantly higher voting rights than Class A shares. It effectively allows firms to raise capital (by selling Class A shares) while retaining control of voting (and retaining Class B shares).
A Type "B" reorganization is a stock-for-stock transaction in which one corporation (the acquiring corporation) acquires the stock of another corporation (the target corporation). Only voting stock of the acquiring corporation or its parent may be used in the acquisition.
Class B shares often carry fewer voting rights than Class A shares, but they may have other advantages, such as lower fees or higher dividends. Class B, preferred stock: Each share confers one vote, but shareholders receive $2 in dividends for every $1 distributed to Class A shareholders. This class of stock has priority distribution for dividends and assets.
Class A shares generally have more voting power and higher priority for dividends, while Class B shares are common shares with no preferential treatment. Class C shares can refer to shares given to employees or alternate share classes available to public investors, with varying restrictions and voting rights.

Do Class B shares convert to A shares?

Holding Class B shares for the long term can be a tax-efficient strategy. Long-term capital gains are taxed at a lower rate than short-term capital gains. If an investor holds Class B shares for longer than one year, any gains realized from the sale of these shares will be subject to long-term capital gains tax rates.
For example, a company may offer class B shares to employees or insiders, which have different voting rights than Class A shares. Share conversions allow these shareholders to convert their class B shares into class A shares, which may have greater voting power or other benefits.
Types of Shares to be Included
It is common for companies to have such as class A or class B shares. If both classes of shares have the same economic value, you should add the number of shares in each class and multiply the total with the share price.
B Ordinary shares (or B Ordinary (Non-Voting) shares) is usually the name given to the shares that are 'worse' than Ordinary shares because they are non-voting (i.e. they're like Ordinary shares, but no votes per share).
Class A shares involve paying a fee when you purchase your shares. Class B shares impose a fee when you sell your shares. Class C shares impose a fee while holding the shares, such as 0.5% of the value of the share per period.
Valuing Common Stock
The analyst takes the stock information and uses it to determine a premium value for your Class A voting shares and a discount amount for the Class B shares. The premium value is the dollar amount that the company owners must pay to purchase Class A voting rights stock shares.
Common stock is different from preferred stock in case of bankruptcy. Preferred stock receives preferential treatment, meaning, those stockholders are paid first if there are any assets left to liquidate when a company goes under. Common stockholders are only paid after preferred stockholders are paid.
Classes of LLC Membership Units

Class A share funds refer to those shares which charge an upfront fee or front-end load on the initial investment. These shares go on to charge lower marketing fees and can benefit in case of a long-term holding. In contrast, Class B share funds have lower upfront charges but deferred sales charges.
Can you sell B shares?
Note: B Shares are not listed on the London Stock Exchange and therefore there is no ready market in which you can sell your B Shares (although they are capable of being transferred privately).
Class B shares, on the other hand, are typically more affordable and more accessible to retail investors. However, they also come with fewer voting rights and may be less liquid than class A shares.
